Registered LLC Agent
Registered LLC Agent s are required by state law. They are an important part of your business. Who should be your registered LLC agent? The person you choose to be your registered LLC agent is responsible for all the legal and tax documents that come to your company. These include, but are not limited to the following:
- Service of Process—which is the paperwork that notifies you of a lawsuit
- State mail — annual reports or statements
- Tax documents
It may not seem like a big deal, but it is important to get someone who is responsible.
The Registered LLC Agent Needs
The registered LLC agent is required to have a physical address (not a post office box) in the state of incorporation. He should be available at the address to receive communication and give it to you. You can act as your own registered LLC agent. But you must live in the state where the LLC is registered. That is usually the best choice. Too often when you choose someone else there is a significant delay in receiving legal notices. When a legal notice is delayed, it may mean your miss a filing date and you will lose the case. If you get your own notices you can act on them immediately.
If you don’t reside in the state where you LLC is registered, you will probably need to hire someone to do this for you. It is worth it to pay a company so you have recourse if they don’t get you the notice timely. I usually recommend that you file your LLC in the state where you reside, unless there is a compelling reason to have it elsewhere.
